01

1. Parties and purpose

This Alpha Non-Disclosure Agreement (“Agreement”) is between the person signing below (“Tester”) and the operator of Inner Circle Social through the Together Platform (“Company”). The purpose is to let Tester evaluate an unreleased private social platform and provide feedback while protecting confidential information.

02

2. Confidential information

“Confidential Information” means non-public information disclosed through the alpha or by Company that a reasonable person would understand to be confidential, including unreleased features, designs, screenshots, prototypes, roadmaps, pricing, business plans, research, source code, architecture, security controls, vulnerabilities, credentials, administrator tools, test data, and other testers’ non-public information.

03

3. Exclusions

Confidential Information does not include information Tester can document: (a) was lawfully known without a confidentiality duty before disclosure; (b) became public without breach of this Agreement; (c) was received lawfully from another source without a confidentiality duty; or (d) was independently developed without use of Confidential Information.

04

4. Tester obligations

  • Use Confidential Information only to evaluate the alpha and provide feedback.
  • Do not publish, livestream, post, forward, sell, or disclose Confidential Information, including screenshots or recordings, without Company’s written permission.
  • Protect access credentials and use at least reasonable care to prevent unauthorized access.
  • Do not reverse engineer, scrape, probe, or security-test the service unless Company gives written authorization defining the scope.
  • Promptly report suspected loss, disclosure, or unauthorized access and cooperate in limiting harm.
05

5. Required disclosure

If law or valid legal process requires disclosure, Tester may disclose only what is legally required and, when permitted, will give Company prompt notice and reasonable cooperation so Company may seek protection.

06

6. Ownership, feedback, and no license

Confidential Information remains Company’s property. No intellectual-property license is granted except the limited right to evaluate the alpha. Tester gives Company a perpetual, worldwide, royalty-free right to use feedback and suggestions, without identifying Tester publicly, while Tester retains ownership of pre-existing materials.

07

7. Return and deletion

At Company’s request or when testing ends, Tester will stop using Confidential Information and delete locally stored confidential screenshots, exports, recordings, and documents, except for copies automatically retained in backups or required by law. Any retained copy remains protected.

08

8. Term

This Agreement begins when signed. Confidentiality duties continue for three years after the last disclosure, except trade secrets remain protected for as long as they qualify as trade secrets under applicable law.

09

9. Alpha condition and remedies

The alpha and Confidential Information are provided “as is” without warranties. Unauthorized disclosure may cause harm not fully repaired by money, so Company may seek appropriate injunctive relief in addition to other lawful remedies.

10

10. General terms

This Agreement is the entire agreement about alpha confidentiality and may be changed only in a written or electronic record accepted by both parties. If one provision is unenforceable, the rest remains effective. Applicable law and venue will follow the Company’s principal place of business unless mandatory law requires otherwise; this clause should be finalized with counsel before expansion beyond a limited alpha.

11

11. Electronic signature

By typing a legal name, checking the acknowledgments, and selecting “Sign the Alpha NDA,” Tester intends to sign electronically, agrees that the electronic record has the same effect as a handwritten signature, and consents to receiving and retaining this Agreement electronically.
